Terms of Service

Draft v0.1. These documents are awaiting legal review. Details in square brackets will be completed before launch.

Effective date: [EFFECTIVE DATE] · Version: 0.1

Welcome to [PLATFORM NAME], operated by [COMPANY LEGAL NAME], a [STATE OF INCORPORATION] corporation ("we", "us", "our"). These Terms of Service ("Terms") govern your use of our website at [DOMAIN], our apps, and related services (together, the "Service").

Please read Section 13. It says disputes are resolved by individual arbitration, and that you give up the right to a jury trial and to join a class action, unless you opt out.

1. Agreeing to these Terms

1.1 Accounts. By creating an account, you agree to these Terms.

1.2 Guests. You can watch, like, share and report without an account. By using the Service as a guest, you agree to these Terms.

1.3 Policies that are part of these Terms. The following policies are part of these Terms and apply to everyone:

  • Community Guidelines
  • Copyright & DMCA Policy
  • Likeness & Voice Rights Policy
  • Enforcement & Appeals Policy

Our Privacy Policy explains how we handle personal information. If you upload content, the Creator Agreement also applies; for your uploads, it controls where it conflicts with these Terms.

2. Who can use the Service

2.1 Age. You must be at least 13 years old to use the Service. If you are under 18, you may use it only with the permission of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use.

2.2 Not for children under 13. The Service is not directed to children under 13. If we learn that someone under 13 has created an account or given us personal information, we will delete the account and that information.

2.3 Other limits. You may not use the Service if we have previously banned you, or if the law where you live prohibits it.

3. Your account

3.1 Accurate information. Give us accurate information and keep your email address current. We use it for sign-in codes, security notices and important changes.

3.2 Security. Keep your password to yourself. You are responsible for activity on your account. Tell us right away at [SUPPORT EMAIL] if you think someone else has access to it.

3.3 Usernames. Your username becomes your public page address, for example [DOMAIN]/@yourname. Usernames may not impersonate a person, brand or organization, or suggest an official connection to us. We may reclaim or change a username that breaks these Terms, and some words are reserved.

3.4 Guest data moving to your account. If you watch or like content as a guest and then sign in on the same device, we move that activity to your account.

3.5 Closing your account. You may delete your account at any time from your settings or by writing to [SUPPORT EMAIL]. Our Privacy Policy explains what we keep afterwards and why.

4. Using the Service

4.1 Watching. Some episodes are free. Others unlock when you watch a short advertisement, as shown before the episode. We may limit how many episodes you can unlock this way each day.

4.2 Advertising. The Service shows advertisements, including our own promotions. You agree not to block, skip, speed up or fake the viewing of an advertisement used to unlock an episode, and not to use bots, scripts or multiple accounts to obtain unlocks.

4.3 Paid features. We may introduce paid features, such as virtual coins, later. They will come with their own terms, which we will show you before you buy anything.

4.4 Beta. Parts of the Service are in beta. Beta features may change, stop working or be removed, and are provided without any promise that they will keep working.

4.5 What you may not do. You agree not to:

  • break the law, or help anyone else do so;
  • post content or comments that break our Community Guidelines;
  • copy, download, record or redistribute content from the Service, except with features we provide for that purpose, such as share links;
  • inflate views, likes, shares, follows or completion rates, or use the Service in any automated way we have not allowed;
  • access the Service through bots, scrapers or other automated means without our written permission;
  • probe, attack or disrupt the Service or its security, or get around any limit or restriction we set;
  • impersonate anyone, or misrepresent your connection with a person or organization;
  • use the Service to send spam or to collect other users' information.

5. Content on the Service

5.1 Creators own their content. Videos, series, episodes and other material on the Service belong to the people who created them or to their licensors. Watching content does not give you any ownership of it.

5.2 Your comments and profile. You own the comments, profile information and other material you post ("Your Material"). You give us a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, adapt (for example, to fit a screen), distribute and make Your Material available on and through the Service, and to use it to operate, promote and improve the Service. This license continues until you delete Your Material, except where others have shared it or we must keep it for legal reasons.

5.3 Uploading videos. If you upload videos or series, the Creator Agreement governs them.

5.4 Our rights. The Service itself, including its software, design, logos and the name [PLATFORM NAME], belongs to us and our licensors. These Terms do not give you any right to use our name or logos.

5.5 Feedback. If you send us ideas or suggestions, we may use them without owing you anything.

6. Moderation and reports

6.1 How we review content. We review content with automated tools and human reviewers, before and after it is published. We do not review everything, and we are not responsible for content posted by others.

6.2 Reports. You can report content, comments or accounts from the menu on each item. Guests can report too. We handle reports as described in our Enforcement & Appeals Policy. Rights holders can use our Copyright & DMCA Policy and our Likeness & Voice Rights Policy.

6.3 Our actions. We may remove or restrict content, limit features, or suspend or end accounts that break these Terms or create risk for others or for us. Our Enforcement & Appeals Policy explains what we do, how we tell you, and how to appeal.

6.4 Child safety. We report apparent child sexual exploitation to the National Center for Missing & Exploited Children (NCMEC) as the law requires, and we cooperate with law enforcement.

7. Third-party links and services

The Service may link to websites or services run by others. We do not control them and are not responsible for them. Your use of them is governed by their terms.

8. Privacy

Our Privacy Policy explains what we collect and how we use it. It includes information about guests, devices and cookies.

9. Changes to the Service and to these Terms

9.1 The Service. We may add, change or remove features at any time.

9.2 These Terms. We may update these Terms. For material changes, we will tell you at least 30 days before they take effect, by email or in the Service, unless the change is required by law or addresses a safety risk. If you keep using the Service after changes take effect, you accept them. If you do not agree, stop using the Service and delete your account.

10. Ending your use

You may stop using the Service at any time. We may suspend or end your access as described in Section 6.3 and our Enforcement & Appeals Policy, or if we stop offering the Service. Sections 5.2, 5.5, 11, 12, 13 and 14 continue to apply after your use ends.

11. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent the law allows, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Service will be uninterrupted, secure or error-free, or that any content is accurate, lawful or suitable for you. Content on the Service may be fictional or made with AI tools.

12. Limits on our liability

12.1 To the fullest extent the law allows, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from or related to the Service or these Terms.

12.2 To the fullest extent the law allows, our total liability for any claim arising from or related to the Service or these Terms will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) US $100.

12.3 Some places do not allow these limits, so they may not apply to you in full.

12.4 Indemnity. You will defend and hold us harmless against claims, damages and costs, including reasonable attorneys' fees, arising from Your Material, your breach of these Terms, or your violation of law or of anyone else's rights.

13. Disputes

[TO BE CONFIRMED BY COUNSEL]

13.1 Talk to us first. Before filing a claim, email [LEGAL EMAIL] with a description of the problem. We will try to resolve it within 60 days.

13.2 Arbitration. If we cannot resolve it, you and we agree to resolve any dispute arising from or related to the Service or these Terms by binding individual arbitration administered by [ARBITRATION PROVIDER] under its consumer rules, except that either of us may bring an individual claim in small claims court, or ask a court to stop misuse of intellectual property.

13.3 No class actions. You and we may bring claims only individually, not as a plaintiff or class member in any class, collective or representative proceeding. You and we waive any right to a jury trial.

13.4 Opting out. You may opt out of this Section 13 by emailing [LEGAL EMAIL] within 30 days of first accepting these Terms, with your name, username and a statement that you opt out of arbitration.

13.5 Governing law. These Terms are governed by the laws of the State of [GOVERNING LAW STATE] and applicable U.S. federal law, without regard to conflict-of-law rules. Where arbitration does not apply, disputes will be heard in the state or federal courts located in [GOVERNING LAW STATE].

14. General

These Terms, with the documents listed in Section 1.3 and the Privacy Policy, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. If we do not enforce a provision, we have not waived it. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, employment or agency relationship.
