Creator Agreement

Draft v0.1. These documents are awaiting legal review. Details in square brackets will be completed before launch.

Effective date: [EFFECTIVE DATE] · Version: 0.1

This Creator Agreement ("Agreement") is between you and [COMPANY LEGAL NAME] ("we", "us"). It governs any video, series, episode, cover image, title, description, tag or other material you upload to [PLATFORM NAME] ("Content"). It supplements our Terms of Service, Community Guidelines and the other policies listed there. Where they conflict, this Agreement controls for your Content.

1. Agreement and eligibility

1.1 Acceptance. By uploading Content, you agree to this Agreement.

1.2 Eligibility. You must be at least 13 years old to upload, with a parent's or guardian's permission if you are under 18. Earning money from your Content, when that becomes available, will require you to be at least 18 and to pass identity and tax checks.

1.3 Uploading for someone else. If you upload on behalf of a studio or company, you confirm you are authorized to bind it to this Agreement.

1.4 The deal in plain words.

  1. You own your work. We host it, show it, and may recommend it.
  2. You hold the rights to everything in it: story, music, footage and voices.
  3. No real person's face or voice without their written consent, and no AI-made depictions of celebrities.
  4. No nudity or sexual content, and nothing sexual involving minors, ever.
  5. During beta we show ads and you earn nothing yet. When earnings launch, you will keep 80% of net revenue.

2. Ownership and license

2.1 You keep ownership. As between you and us, you keep whatever rights you have in your Content. We claim no ownership of it.

2.2 License to us. You give us a worldwide, non-exclusive, royalty-free license, with the right to sublicense to our service providers, to host, store, encode, reproduce, display, stream, distribute and make your Content available on and through the Service. This license lets us:

  • show your Content on your public page and at shareable links, to anyone, with or without an account;
  • recommend it in feeds, search and other discovery features, at our discretion;
  • show advertisements before, during, after or around it, including advertisements that viewers watch to unlock episodes;
  • create thumbnails, previews, and clips or trailers of up to 60 seconds to promote your Content or the Service, on the Service and on social media;
  • make technical changes, such as transcoding, resizing, cropping for different screens, adding captions or translations, that do not change the meaning of your work.

2.3 Duration. The license lasts while your Content is on the Service. When you delete Content, we will stop showing it within a reasonable time. We may keep copies for legal, safety and record-keeping reasons, and promotional clips already posted on social media may remain.

2.4 Your name. You allow us to use your creator name, username, profile image and a description of your Content to identify you as its creator and to promote it.

2.5 No obligation to show or recommend. Uploading does not guarantee that your Content will be recommended, featured or kept available. We decide what to recommend, and we may change how we decide at any time.

3. Your promises about rights

For all Content you upload, you promise that:

3.1 You may publish it. You created the Content, or you have every right, license and permission needed to publish it and grant the license in Section 2. This covers scripts, stories, characters, footage, images, music, sound effects, voices, fonts and every other element.

3.2 People who appear in it. Everyone who appears in your Content, or whose voice is heard, has agreed to appear in it and to its distribution on the Service. For anyone under 18, you have the written consent of their parent or guardian. You will show us these consents if we ask.

3.3 Real people and AI. Your Content does not depict, imitate or simulate any real, identifiable person's face, body or voice using AI or other synthetic tools unless you have that person's written consent for this use. The following are never allowed, even with consent claimed:

  • AI-made or AI-altered depictions of real public figures or celebrities;
  • any real person shown in sexual, nude or sexually suggestive content;
  • any synthetic or altered depiction of a real minor.

3.4 Other people's works. Your Content does not copy or adapt anyone else's copyrighted work, trademark, characters or brand without permission.

3.5 Music. Any music or audio in your Content is original, licensed for this use, or free to use under terms that allow it.

3.6 AI tools. If you used AI tools, you used them in line with their terms, and those terms allow the commercial use and distribution you make here. Some places may not grant copyright in material generated purely by AI; you are responsible for any gap between the rights you claim and the rights you hold.

3.7 Proof. When we ask, you will promptly provide reasonable proof of your rights, such as licenses, releases, consents or project files. If you cannot, we may remove the Content.

4. Content rules, ratings and AI disclosure

4.1 Rules. Your Content must follow our Community Guidelines. Among other things, nudity, sexual content and anything sexualizing minors are prohibited.

4.2 Ratings. Content must be suitable for a general audience aged 13 and over. Mature (18+) content is not accepted yet. We may apply or change a rating ourselves.

4.3 AI disclosure. When you upload, tell us whether the Content was made mainly with AI tools. If it was, we show a "Made with AI" label. Do not remove or falsify AI provenance information (such as C2PA content credentials) embedded in your files.

4.4 Honest listings. Titles, covers, descriptions, tags and categories must honestly represent your Content. Do not use misleading covers or tags to attract views, or present fiction or AI-made material as real news or real events.

5. Review, takedowns and enforcement

5.1 Review. We scan uploads with automated tools. Content that passes usually goes live within minutes. Content that needs a closer look shows as "In review" until a person checks it. Clear violations are blocked. We also check published Content at random and when it is reported. Passing review does not mean we have confirmed your rights.

5.2 Our actions. If we believe Content breaks this Agreement, our policies or the law, or creates risk for viewers or for us, we may change its rating, limit its reach, remove it from recommendations, take it down, hold related earnings, or suspend or end your account, as described in our Enforcement & Appeals Policy. We tell you what we did and why. Where Content involves a minor or an imminent risk of harm, we act immediately and report to NCMEC or law enforcement as the law requires.

5.3 Rights claims. Copyright claims follow our Copyright & DMCA Policy. Claims about a person's face, body or voice follow our Likeness & Voice Rights Policy. We may take Content down while a claim is reviewed.

5.4 Appeals. You can appeal our decisions as described in our Enforcement & Appeals Policy.

6. Free episodes, ads and earnings

6.1 How viewers watch. You choose how many episodes of a series are free. Later episodes unlock when a viewer watches an advertisement. You may make every episode free; we may still show advertisements around Content.

6.2 No earnings during beta. While the Service is in beta, we do not pay creators. Revenue from advertising and any other source during beta belongs to us.

6.3 Earnings later. We plan to let creators earn from their Content, for example by setting prices in virtual coins and receiving 80% of net revenue. Earnings will start only when we publish separate Monetization Terms and you accept them. Those terms will set out prices, revenue share, holding periods, payout thresholds, payment providers, and identity and tax requirements.

6.4 Artificial activity. You will not inflate views, completion rates, likes, shares, follows or unlocks through bots, paid traffic schemes, repeated self-viewing or coordinated activity. We exclude such activity from any metrics, recommendations and future earnings, and may take action under our Enforcement & Appeals Policy.

7. Upload limits

We may set limits on file size, total upload length, file formats and upload frequency, and change them. We show current limits in the upload screens. We may move Content that nobody has watched for a long time to slower storage, which may make it take longer to start playing.

8. Responsibility, termination and disputes

8.1 Indemnity. You will defend and hold harmless [COMPANY LEGAL NAME] and its affiliates, officers, employees and agents from any claims, damages, losses, fines and costs, including reasonable attorneys' fees, arising from your Content, your breach of this Agreement, or your violation of any law or anyone's rights, including copyright, trademark, privacy, likeness and voice rights.

8.2 Disclaimers and limits. The disclaimers and limits of liability in our Terms of Service apply to this Agreement. We do not guarantee any level of views, recommendations or earnings.

8.3 Termination. You may delete your Content and stop uploading at any time. We may end this Agreement or your account for a breach, legal risk, or if we discontinue the Service.

8.4 Survival. Sections 2.3, 3, 5, 8 and 9 continue after this Agreement ends.

8.5 Changes. We will give at least 30 days' notice of material changes, by email or in the creator tools, except where the law or a safety risk requires faster changes.

8.6 Disputes. Disputes are resolved as described in Section 13 of our Terms of Service.
